    Hill Wallack LLP Partner Francis J. Sullivan To Speak At National Business Institute Seminar


    Yardley, PA. – Francis J. Sullivan, Managing Partner in Hill Wallack LLP’s Yardley office, will be a featured speaker at the NBI’s Helping Your Client Buy or Sell a Small-to-Medium Sized Business seminar being held in Philadelphia on March 27, 2012. This seminar will provide an overview of how to effectively advise a purchase or sale of a business and is intended for corporate/business attorneys, real estate attorneys, general practitioners, in-house counsel, CPAs, CFOs, presidents and vice presidents.

    Mr. Sullivan will lead three courses throughout the day. The first, Advising Buyers and Sellers During the First Steps of the Process, will highlight professional advisory teams, business-for-sale market analysis, due diligence, non-disclosure agreements, structuring the transaction, drafting letters of intent and business brokers. His second course, Know Your Client’s Options for Financing the Deal, will discuss sources of financing, seller financing do’s and don’ts, asset based lending, working with the SBA, venture capital and UCC issues. Mr. Sullivan’s third course, Contract Negotiation Strategies for Buyers and Sellers will outline making and evaluating offers, conditions of sale, acquisition agreements, dealing with liabilities, environmental issues, successor liability, unpaid taxes, accounts payable, insurance, ADR, closing the deal and post-sale duties.
